I am a capital markets consultant with over a decade of experience advising startups, growth stage businesses and listed companies on corporate compliance, capital structuring, capital markets transactions and regulatory strategy. My practice spans the full business lifecycle from early-stage structuring and fundraising to IPO readiness, transaction execution and ongoing regulatory compliance.

I work closely with founders, management teams, merchant bankers, investors and intermediaries, supporting businesses across funding rounds, investor documentation, legal due diligence and execution stage regulatory coordination. My capital markets work includes advising on SME and mainboard listings, pre-IPO restructuring, disclosure frameworks and SEBI driven compliance requirements.

I focus on helping companies align early stage legal, governance and capital structure decisions with long term listing and investor expectations. This includes advising on funding facilitation, term sheets, shareholders’ arrangements, governance frameworks and regulatory positioning with a clear IPO and capital markets lens.

A significant part of my work involves transaction advisory and legal risk management, including comprehensive legal due diligence, structuring and negotiation of strategic transactions, share transfers and commercial arrangements. My approach emphasises early identification of regulatory, contractual and compliance risks to ensure smoother execution and avoid downstream issues.

In addition, I advise businesses on building robust contractual, policy and secretarial frameworks, including commercial and employment contracts, internal compliance policies, statutory and secretarial processes, board and shareholder governance, and IP protection structures.

Prior to establishing Lexansh & Co., I held partner level roles in corporate law practice and worked in in-house advisory roles within listed companies.
